Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Aiva Quote platform, including the website at aivaquote.com and all related services (collectively, the "Service"), provided by Aiva Quote, Inc. ("Aiva Quote," "we," "us," or "our").

By creating an account, joining the waitlist, or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Eligibility

You must be at least 18 years old and a licensed insurance professional (or act in an administrative capacity for one) to use the full features of the Service. Certain features — such as quoting, enrollment submission, and carrier integrations — are available only to verified licensed agents and authorized agency administrators.

2. Account Registration

To access the platform, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@aivaquote.com if you suspect unauthorized access.

Agent accounts require a valid National Producer Number (NPN). You represent that your NPN is current, active, and in good standing with your state licensing authority.

3. Subscriptions and Billing

Access to the platform is provided on a subscription basis. Pricing, plan tiers, and billing cycles are described on our pricing page. By providing payment information, you authorize us to charge the applicable fees through our payment processor (Stripe) on the 1st of every month.

• Renewals: Subscriptions renew automatically unless cancelled at least 24 hours before the renewal date.
• Refunds: We offer a 30-day money-back guarantee for new subscriptions. After 30 days, fees are non-refundable except where required by law.
• Price changes: We will provide at least 30 days' notice before changing subscription pricing. Continued use after the effective date constitutes acceptance of the new pricing.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable federal and state insurance regulations. You must not:

• Submit false, misleading, or unauthorized insurance applications on behalf of consumers.
• Share your account credentials with unauthorized individuals.
• Attempt to reverse engineer, scrape, or otherwise extract data from the platform without written permission.
• Use the platform to transmit spam, malware, or any harmful content.
• Circumvent or disable any security or access control features.
• Use the Service to violate HIPAA, state privacy laws, or any applicable insurance regulations.

5. Health Information and HIPAA

When you use the Service to process protected health information (PHI) on behalf of consumers, you are responsible for ensuring that you have appropriate authorization (e.g., a signed consent or HIPAA authorization) from those individuals. Aiva Quote will process PHI as a Business Associate in accordance with our Business Associate Agreement (BAA). To request a BAA, contact compliance@aivaquote.com.

6. Carrier Integrations and EDI Submissions

The Service facilitates enrollment submissions to insurance carriers via EDI 834 or API. You represent that all submissions you initiate are accurate, complete, and authorized by the enrolling consumer. Aiva Quote is not responsible for carrier decisions, processing delays, or errors introduced by party carrier systems.

7. Intellectual Property

The Service and all content, code, trademarks, and designs are the property of Aiva Quote, Inc. or its licensors. These Terms do not grant you any right, title, or interest in the Service beyond the limited license to use it for its intended purpose.

You retain ownership of all data you upload to the platform. By uploading data, you grant us a limited license to process and store that data solely to provide the Service.

8. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party that is reasonably understood to be confidential, and to use such information only to fulfill obligations under these Terms.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Aiva Quote is a technology platform and does not provide insurance, legal, tax, or compliance advice. You are solely responsible for ensuring that your use of the platform complies with applicable laws and regulations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AIVA QUOTE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO AIVA QUOTE IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.

11. Indemnification

You agree to indemnify, defend, and hold harmless Aiva Quote and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or regulation; or (c) any misrepresentation you make to a consumer or carrier.

12. Term and Termination

These Terms remain in effect while you use the Service. We may suspend or terminate your account at any time for cause, including violation of these Terms, with or without notice. You may terminate your account at any time from your account settings. Sections governing intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with proceedings conducted in English in Austin, Texas. Each party waives the right to a jury trial and to participate in any class action.

14. Changes to These Terms

We may modify these Terms at any time. When we do, we will update the "Last Updated" date and, for material changes, notify you via email or in-app notice at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
